The company is currently seeking an experienced Legal Counsel – Corporate & Commercial to lead and manage the legal function, providing strategic advice and handling complex corporate and commercial matters in Manama, Bahrain.

Role & Responsibilities:

Lead and manage corporate and commercial matters, providing end-to-end legal delivery for transactions and business initiatives.

Draft, review, negotiate, and approve commercial contracts, including supplier/vendor agreements, service agreements, MSAs, IP/licensing, procurement, NDAs, distribution, and agency arrangements.

Manage complex transactions, including joint ventures, investments, intercompany arrangements, and commercial aspects of M&A and projects.

Oversee contract lifecycle management, maintain templates, version control, and a searchable repository, ensuring continuous improvement and automation.

Provide legally and commercially balanced advice; escalate material legal or reputational risks with recommended mitigations.
-
Lead legal support for the Islamic Window, review Sharia-sensitive documentation, and coordinate with the Sharia Officer to ensure compliance.
-
Supervise and coordinate external counsel for complex or specialist matters; manage scope, budgets, and KPIs.

Support intra-group commercial arrangements and draft/review intercompany SLAs and cost-sharing agreements.

Conduct and document legal research on emerging regulatory, corporate, commercial, and Islamic finance matters.

Assist the Head of Legal in developing policies, procedures, departmental automation, and legal matter management systems.

Act as a Department Risk Champion and collaborate with cross-functional teams to support business objectives.
Qualifications & Requirements:
-
LLB from a recognized international English-language university; LLM and/or LPC preferred.

Minimum 10 years of relevant experience in-house or at a reputable law firm handling corporate, commercial, and financial transactions.

Practical knowledge of Islamic finance products, structuring, and compliance.
-
Licensed attorney in the Kingdom of Bahrain is a plus.

الدور الوظيفي والمسؤوليات:

قيادة وإدارة الأمور القانونية التجارية والشركاتية، وتقديم خدمات قانونية شاملة للمعاملات والمبادرات التجارية.

صياغة ومراجعة والتفاوض والموافقة على العقود التجارية، بما في ذلك عقود الموردين/البائعين، عقود الخدمات، اتفاقيات الخدمات الرئيسية، حقوق الملكية الفكرية/الترخيص، المشتريات، اتفاقيات السرية، التوزيع، والوكالات.

إدارة المعاملات المعقدة، بما في ذلك المشاريع المشتركة، الاستثمارات، الترتيبات بين الشركات، والجوانب التجارية للاندماجات والاستحواذات والمشاريع.

المؤهلات والمتطلبات:

شهادة LLB من جامعة دولية معتمدة باللغة الإنجليزية؛ يفضل الحصول على LLM و/أو LPC.

خبرة عملية لا تقل عن 10 سنوات في الشركات أو في مكتب محاماة مرموق في التعامل مع المعاملات التجارية والمالية المعقدة.
