 Legal Expert

Purpose of the Consultancy
This assignment calls for a legal expert based in the Kingdom of Bahrain, specializing in company law and associated registration, financing, and approval procedures. The expert will support a Founders Steering Committee of leading European businesses towards establishing the most appropriate constitution and by-laws for a European Chamber of Commerce in accordance with Bahraini law.

Tasks to be Undertaken
The expert’s responsibilities will include:

• Identifying the regulatory framework for the establishment of the European Chamber in Bahrain, including legal requirements.
• Analyzing Decree-Law No. (28) of 2020, amending some provisions of the Commercial Companies Law promulgated by Decree Law No. (21) of 2001, particularly Chapter 9, which includes businesses under the title "a Non-Profit Company." The expert shall advise if this section could also apply to the formation of the European Chamber in Bahrain.
• Advising on the best legal options and the most appropriate legal format for the registration of the European Chamber as an independent Chamber of Commerce, including as a non-commercial entity dependent on an entity in Europe.

• Providing an assessment of the pros and cons of available options for registration of the Chamber, including fees, duration, taxes, and independence.
• Identifying the appropriate procedures, licenses, and permits, including costs and issuing organizations, for establishing a European Chamber.
• Providing advice on the financing and taxation of a European Chamber under Bahraini law.
• Providing legal advice on the receipt of revenues from inside and outside the Kingdom of Bahrain.
• Advising on the established organization’s ability to set up alternate chapters and branches within Bahrain, the GCC region, or the European Union.
