TSA Project Manager (FTC)
- The TSA Project Manager is a member of the overall Integration Programme and is centrally responsible for the coordination and management of the Transition Services Agreement (TSA) relating to a recent acquisition. The TSA Project Manager will ensure that all TSA and reverse TSA (rTSA) related topics are managed effectively and in line with business objectives. The TSA Project Manager oversees the entire process and plays a critical role in guiding stakeholders across the business. In addition to coordination the TSA and rTSA, the TSA Project Manager will help facilitate the planning for how we will transition off the TSA and rTSA services over time. The TSA Project Manager will report to the Integration Management Office.
- Here’s a breakdown of what you’ll do (not all of it, just the important stuff):
- Engagement with vendor: Be the central point of contact with the “sell side” (vendor) TSA Co-ordinator, including weekly TSA Co-ordinator calls, and proactively engaging with them as needed to seek resolution of 'live' issues or points of clarification.
- Monthly TSA/rTSA invoicing cycle: Oversee this, and ensure all invoices have been received, validated by Business and Finance Owners, approved, and paid.
- Finance team engagement: Work closely with Finance teams to ensure there is clarity on TSA/rTSA
- TSA/rTSA service delivery issues: Ensure we are aware of all key issues and play an active role in resolving them.
- Governance and reporting: Ensure the established governance structure from the Sale & Purchase Agreement (SPA) is followed to ensure escalation of any necessary issues/disputes between vendor & buyer. Implement monthly “status reporting” on TSA delivery/invoicing and any key issues & related mitigation steps.
- TSA exit planning: Play a central role in the planning of transitioning off the TSA services from the vendor as part of the broader integration programme that has been mobilised by the buyer.
- EU Monitoring Trustee and external legal counsel inputs: Provide TSA related inputs to any meetings with the EU Monitoring Trustee and external advisors.
- Change requests: Ensure all change requests are processed effectively and logged to allow for a robust and accurate view on what changes have happened since Deal Close. This requires engaging with Business and Finance owners to ensure requests are fully understood, documented properly, and signed off.
