We are seeking a dynamic and experienced Legal Counsel to join our legal team and play a pivotal role in our strategic initiatives, including fund formation, private equity transactions, mergers and acquisitions (M&A), corporate investment, upstream and downstream capital raising, and venture capital deals.
Position Overview:
- As Legal Counsel specializing in Funds, Private Equity, M&A, and Capital Raising, you will be a key contributor to our legal strategy and execution. The successful candidate will provide expert legal advice on a broad range of transactions, ensuring compliance with applicable laws and regulations and facilitating successful business outcomes.
Key Responsibilities:
Fund Formation:
- Guide and oversee the process of fund formation, including the drafting and negotiation of fund documents, partnership agreements, and regulatory compliance matters.
- Collaborate with internal teams and external stakeholders to ensure the seamless launch of new funds.
Private Equity and M&A:
- Lead legal aspects of private equity transactions and M&A activities, from due diligence to deal structuring and negotiations.
- Draft and review transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.
Corporate Investment:
- Provide legal support for corporate investments, joint ventures, and strategic partnerships.
- Work closely with business development teams to assess legal risks and propose effective risk mitigation strategies.
Capital Raising:
- Advise on upstream and downstream capital raising activities, including securities law compliance, due diligence, and negotiation of financing agreements.
- Develop and implement policies to ensure compliance with regulatory requirements in capital-raising efforts.
Venture Capital:
- Assist in negotiating and closing venture capital deals, including term sheets, investment agreements, and shareholder agreements.
- Stay abreast of industry trends and best practices in venture capital transactions.
Requirements & Qualifications:
- 4-9 years PQE
- Minimum 2 years of legal experience with a focus on Funds, Private Equity, M&A, Corporate Investment, and Capital Raising.
- In-depth knowledge of relevant laws, regulations, and industry standards.
