Legal Counsel

Role Overview:

We are seeking a dynamic and hands-on Legal Counsel to manage the Company’s legal requirements in Bahrain and collaborate with the legal team across the group’s other companies. This is a stand-alone role within a larger legal team spread across 13 jurisdictions. The Legal Counsel will handle financial regulations, commercial contracts, digital payments, and cross-border legal frameworks. Reports to the Group Chief Legal Officer and the CEO of Pay10 Bahrain.

Key Responsibilities:

1. Corporate Advisory:

• Provide legal support regarding the Company’s corporate operations.

• Maintain and update main corporate records.

• Manage corporate service providers.

2. Regulatory & Compliance Oversight:

• Maintain up-to-date licensing records.

• Liaise with teams to ensure licenses are current.

• Collaborate with compliance and risk management teams to strengthen governance and internal controls.

3. Contracts & Commercial Law:

• Draft, negotiate, and review high-value contracts, including client agreements, technology licensing, partnerships, and vendor arrangements.

• Ensure contracts are commercially sound, legally enforceable, and aligned with Bahrain regulations and business risk appetite.

4. Corporate Governance & Transactions:

• Support the Chief Legal Officer in maintaining the corporate governance framework.

• Draft board resolutions, meeting minutes, shareholder documents, and manage corporate secretarial functions.

5. Litigation & Risk Management:

• Manage disputes, litigation, and regulatory investigations.

• Coordinate with external counsel as needed.

• Develop and deliver internal training programs to promote legal awareness and reduce operational risks.

Required Qualifications & Experience:

• Minimum 5 years of legal experience in fintech, banking, payments, technology, e-commerce, or related sectors.

• GCC experience is required.

• Licensed to practice law in a common law jurisdiction (UK, US, or equivalent).

• Knowledge of regulatory environments for financial services, e-money, and payment solutions in Bahrain.

• Strong stakeholder engagement, commercial negotiation, and organizational skills.

• Business-oriented mindset with ability to manage diverse tasks.

• Arabic language skills preferred but not essential.

المسؤوليات الرئيسية:

1. الاستشارات القانونية للشركة:

   • تقديم الدعم القانوني للشركة فيما يتعلق بالمتطلبات التشغيلية للشركة.

   • إدارة السجلات القانونية للشركة والحفاظ عليها محدثة.

   • إدارة مقدمي الخدمات القانونية للشركة.

2. الإشراف على التنظيم والامتثال:

   • الحفاظ على تحديث سجلات الترخيص والتنسيق مع الفرق ذات الصلة لتحديث التراخيص.

   • التعاون مع فرق الامتثال وإدارة المخاطر لتعزيز الحوكمة والرقابة الداخلية في البحرين.

3. العقود والقانون التجاري:

   • صياغة ومراجعة والتفاوض على العقود عالية القيمة، بما في ذلك عقود العملاء، تراخيص التكنولوجيا، الشراكات، وترتيبات الموردين.

   • التأكد من أن العقود قانونية وقابلة للتنفيذ ومتوافقة مع لوائح البحرين والمخاطر التجارية.

4. حوكمة الشركات والمعاملات:

   • دعم الرئيس التنفيذي القانوني في الحفاظ على إطار حوكمة الشركات، بما في ذلك صياغة قرارات مجلس الإدارة، محاضر الاجتماعات، اجتماعات المساهمين، والمهام الإدارية للشركة.

5. التقاضي وإدارة المخاطر:

   • إدارة النزاعات، التقاضي، التحقيقات التنظيمية، والتنسيق مع المستشارين الخارجيين عند الحاجة تحت إشراف الرئيس التنفيذي القانوني.

   • وضع وتنفيذ برامج تدريبية داخلية لتعزيز الوعي القانوني وتقليل المخاطر التشغيلية.

المؤهلات والخبرة المطلوبة:

• خبرة لا تقل عن 5 سنوات في القطاع القانوني في مجالات التقنية المالية، البنوك، المدفوعات، التجارة الإلكترونية، أو المجالات ذات الصلة بالتكنولوجيا.

• خبرة في دول مجلس التعاون الخليجي ضرورية.

• ترخيص لمزاولة المحاماة في نظام قانوني عام (مثل المملكة المتحدة، الولايات المتحدة، أو ما يعادلها).

• معرفة واضحة بالبيئة التنظيمية للخدمات المالية، النقود الإلكترونية، وحلول الدفع في البحرين.

• قدرة على العمل الجماعي ومهارات ممتازة في التعامل مع أصحاب المصلحة والتفاوض التجاري والتنظيمي.

• عقلية تجارية مع القدرة على إدارة مهام متعددة ومتنوعة.

• مهارات اللغة العربية ليست ضرورية ولكنها ميزة مفضلة.
